MERGERS, ACQUISITIONS AND BUSINESS PURCHASES AND SALES.  This practice involves negotiating and drafting: (1) asset or stock purchase agreements; (2) merger agreements; (3) leveraged buy-out financing documents; (4) long-term supply agreements; (5) employment and consulting agreements; and (6) loan, security and other financing documents.

SECURITIES OFFERINGS AND COMPLIANCE. This practice involves writing and reviewing: (1) underwritten registered public securities offerings; (2) annual reports, quarterly reports, interim reports, proxy statements, press releases and other SEC filings; (3) reverse merger and related going public transactions; (4) private placement memoranda and compliance with federal and state securities registration exemptions; (5) state blue sky compliance; and (6) general securities law compliance matters.

GENERAL BUSINESS TRANSACTIONS.  This practice involves writing and negotiating: (1) documents to form corporations, general and limited partnerships, limited liability companies and joint ventures; (2) shareholder, voting and buy-sell agreements; (3) loan agreements and security documents; (4) settlement agreements; (5) long-term marketing and tolling agreements; (6) design, engineering, construction and operating agreements; (7) employment, consulting and non-competition agreements; (8) patent and technology licensing agreements; (9) real estate purchase agreements, deeds, bills of sale, and a wide variety of other general business agreements.

DISPUTE RESOLUTIONS. This practice emphasizes problem solving and dispute resolution through agreement without litigation when possible. Creative, practical and efficient solutions are sought in a wide variety of matters using negotiation, conciliation, mediation, arbitration and, as a last resort, litigation in federal or state courts.

NEW TECHNOLOGY COMMERCIALIZATION.  This practice involves: (1) forming new technology companies; (2) negotiating patent and technology licenses and sponsored research agreements; (3) acquiring stock assets or closing merger of target companies; (4) completing public and private securities offerings; and (5) making filings with the SEC and NASD.

FRANCHISE LAW.  This practice involves representing franchisers in drafting uniform franchise offering circulars, franchise agreements and franchise compliance issues and representing franchisers and franchisees in all aspects of the franchise relationship.

INTELLECTUAL PROPERTY LAW.  This practice involves: (1) procuring protection for trademarks, services marks, copyrights, and other intellectual property rights (but not patents), and (2) licensing of patents and other forms of intellectual property rights.

PRACTICE HIGHLIGHTS

BUSINESS COMBINATIONS. Mr. Slicker has successfully consummated more than 75 business purchases, sales or mergers involving more than $1 billion in the aggregate.

REGISTERED SECURITIES OFFERINGS.  Mr. Slicker has successfully completed 10 registered public offerings and more than 100 private securities offerings exempt from registration, including an exempt offering involving a plan of reorganization in bankruptcy approved by the SEC.

BANK LOANS.  Mr. Slicker has successfully closed numerous bank loans involving more than $10 million each, as well as several federal income tax exempt industrial revenue and development bond offerings.

DISPUTE RESOLUTIONS.  Mr. Slicker has successfully settled multi-million dollar disputes involving claims of breach of contract, breach of corporate fiduciary duties, securities fraud, franchise fraud, unfair trade practices, products liability, anti-trust violations, ERISA violations, environmental violations and Superfund site remediation claims.

EMPLOYER-EMPLOYEE PROBLEM-SOLVING. Mr. Slicker has successfully resolved numerous employee claims by former employers involving allegations of sexual harassment, wrongful termination, or discrimination by reason of age, sex, race, religion, nationality or disability.

FRANCHISING. Mr. Slicker has counseled several national and local franchisers and numerous franchisees regarding compliance with federal and state franchising requirements.
